Corporate Finance Advisor

The Corporate Finance Advisor provides strategic financial guidance to corporations, SMEs, and investors on capital raising, mergers & acquisitions (M&A), and restructuring. This role combines financial expertise with advanced analytical tools to deliver data-driven solutions in South Africa's dynamic business environment.

Key Responsibilities
1. Mergers & Acquisitions (M&A)
  • Lead buy-side and sell-side transactions from origination to closing
  • Prepare teaser documents, information memoranda, and management presentations
  • Conduct target valuation using DCF, LBO, and comparable company analysis
2. Capital Raising & Structuring
  • Advise on equity/debt financing (private placements, IPOs, mezzanine debt)
  • Structure B-BBEE transactions to meet ownership requirements
  • Negotiate with banks, private equity firms, and development finance institutions (DFIs)
3. Financial Advisory & Restructuring
  • Develop turnaround strategies for distressed businesses
  • Optimize capital structures (debt refinancing, dividend policies)
  • Advise on cross-border transactions (exchange control regulations)
4. Financial Modeling & Valuation
  • Build integrated financial models (3-statement, M&A, LBO)
  • Perform sensitivity and scenario analysis
  • Prepare fairness opinions for board decisions
5. Stakeholder Management
  • Present recommendations to C-suite executives and boards
  • Coordinate with legal, tax, and regulatory advisors
  • Manage due diligence processes (financial, legal, commercial)
6. Technology & Data Analytics
  • Utilize Capital IQ, Bloomberg, and PitchBook for market intelligence
  • Leverage AI-powered deal sourcing tools (e.g., Grata, Crunchbase)
  • Automate reports using Power BI, Tableau, and Python

Required Skills & Competencies
Technical Skills
 Advanced Financial Modeling (DCF, LBO, M&A models)
 Valuation Methodologies (precedent transactions, public comps)
 Regulatory Knowledge (Companies Act, JSE Listings Requirements)
 Data Analysis Tools (Excel VBA, SQL, Power BI)
 Deal Execution (term sheets, SPA negotiation)

Soft Skills
 Strategic Thinking – Identifying value creation opportunities
 Communication – Simplifying complex financial concepts
 Negotiation – Balancing stakeholder interests
 Project Management – Leading cross-functional deal teams

Qualifications & Certifications
Mandatory:
  • Bachelor's degree in Finance, Accounting, or Economics (Hons preferred)
  • 3-5 years in investment banking, corporate finance, or Big 4
Preferred:
  • CA(SA), CFA, or MBA
  • SAICA/SAIPA accreditation
